SUKARR TERMS OF SERVICE

These Terms of Service (Terms) form a legally binding agreement between you (User, you or your) and Mala Group Pty Ltd (ACN 686 281 818) trading as Sukarr (Sukarr, we, us or our) in relation to your access to and use of the Sukarr mobile application, website, account features, paid subscription features, AI-assisted tools, community features, merchandise store where available, and any related services we provide (together, the App).

Please read these Terms carefully before using the App. By downloading, installing, accessing, creating an account for, subscribing to, or otherwise using the App, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the App.

These Terms are intended to work together with our Privacy Policy. If there is any inconsistency between these Terms and the Privacy Policy about how we handle personal information, the Privacy Policy will apply to that issue.

1. Eligibility

You may only use the App if you:

·       are at least 18 years of age;

·       have the legal capacity to enter into a binding agreement;

·       are not prohibited from using the App under applicable laws; and

·       provide accurate, current and complete account information when required.

The App is not intended for children or users under 18. If we become aware that a person under 18 has created an account, we may suspend or delete that account.

If you use the App on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. However, the App is primarily designed for personal and household use unless we expressly agree otherwise in writing.

2. Account Registration and Security

2.1 Account creation

You may be required to create an account to access some or all features of the App. You may register using an email address and password or, where available, through third-party sign-in options such as Google or Apple sign-in.

You agree to provide accurate, current and complete information during registration and to keep your account information up to date.

2.2 Account security

You are responsible for:

·       maintaining the confidentiality of your login credentials;

·       all activity that occurs under your account;

·       using a strong and unique password where password login is available; and

·       notifying us immediately at info@sukarr.com if you suspect unauthorised access, misuse, loss of credentials or any security issue.

We are not responsible for loss or damage arising from your failure to protect your account credentials, except to the extent required by law.

2.3 One account per user

Unless we agree otherwise, each user may maintain one account. Creating multiple accounts to avoid restrictions, payment obligations, usage limits, moderation decisions or bans is prohibited.

3. What Sukarr Does

Sukarr is a digital home inventory application designed to help users manage food items, household items and related information. Depending on your plan, location and available features, the App may allow you to:

·       track food and household items, quantities, units, categories and storage locations;

·       record purchase dates, expiry dates, best-before dates, notes and item status;

·       manage shopping lists, purchase history and household restocking preferences;

·       scan food items, labels or receipts using your device camera;

·       receive reminders for expiry dates, low stock and related inventory actions;

·       generate AI-assisted recipe ideas or meal suggestions based on information you enter;

·       use optional AI, image recognition, voice transcription and smart suggestion features;

·       share recipes, food-related tips and similar content in any Community Hub feature we make available; and

·       purchase Sukarr-branded merchandise if such merchandise is made available through the App or website.

Sukarr is an inventory and lifestyle tool. We do not sell food, groceries, ingredients, meals or medical, dietary or nutritional services. You remain responsible for checking the condition, safety, suitability and contents of any item or ingredient you use.

4. Licence and Permitted Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, access and use the App for your personal, non-commercial household inventory and kitchen management purposes.

You must not use the App in a way that is unlawful, unsafe, harmful, misleading or inconsistent with these Terms.

5. Free Plan, Paid Subscription and Feature Limits

5.1 Free access and feature limits

We may make some App features available for free, including a free tier with limits on entries, usage, AI requests, storage, scanning, recipes or other features. The exact free limits may be updated from time to time and may be displayed in the App, on our website or at checkout.

We may change free feature limits, introduce new limits, remove features from the free tier, or move features into a paid plan. Where a change materially affects existing users, we will try to provide reasonable notice where practicable.

5.2 Paid subscription features

Paid subscription features may include, depending on the plan offered at the time:

·       unlimited or expanded inventory entries;

·       access to AI-generated recipes or recipe suggestions;

·       expanded AI, scanning, item recognition or smart shopping features;

·       premium reminders, household management tools or app functionality; and

·       any other features described at the time of subscription.

The availability and exact scope of paid features may change over time. We will not materially reduce paid features during a paid billing period without giving reasonable notice or an appropriate remedy where required by law.

6. Free Trial, Weekly Billing, Cancellation and Failed Payments

6.1 Seven-day free trial

A 7-day free trial may be offered for paid subscription features. Unless stated otherwise at the time of signup, billing starts automatically when the free trial ends. You are responsible for cancelling before the end of the trial if you do not want to be charged.

6.2 Weekly billing in advance

Paid subscriptions are billed weekly in advance unless a different billing period is clearly stated at the time of purchase. Your payment method will be charged every 7 days until your subscription is cancelled, terminated or otherwise ends.

For example, if your billing day is Friday and you cancel on Thursday, you may still be charged on the next Friday because cancellation requires 7 days notice. In that case, you will continue to have access to the paid subscription features until the end of the paid weekly period.

6.3 Cancellation notice

You may cancel your subscription at any time, but cancellation requires at least 7 days notice. Cancellation will take effect at the end of the paid billing period that follows the notice period, unless the App Store, Google Play, payment processor or applicable law requires a different process.

You are responsible for cancelling through the method made available in the App, website, payment portal, App Store, Google Play or other relevant subscription platform. Deleting the App from your device does not automatically cancel your subscription.

6.4 Failed payments and payment retries

If a payment fails, is declined, is reversed, is disputed, or cannot be processed, we or our payment provider may retry the payment automatically. We may also ask you to update your payment details.

If payment remains unsuccessful, we may:

·       temporarily suspend access to paid features;

·       downgrade your account to a free plan where available;

·       restrict AI, recipe, scanning, storage or unlimited entry features;

·       cancel or terminate the paid subscription; and

·       retain records necessary to manage billing, disputes, compliance and account security.

You remain responsible for any unpaid amounts properly incurred before cancellation, suspension or termination.

6.5 Billing disputes

If you believe you have been incorrectly charged, you must contact us as soon as possible at info@sukarr.com with details of the charge, date, account email and reason for the dispute. We will review billing disputes reasonably and in accordance with applicable law.

If your subscription is managed through the Apple App Store, Google Play or another third-party platform, billing disputes, refunds and cancellations may also be subject to that platform’s terms, processes and decision-making.

7. Refunds and Australian Consumer Law

We do not provide refunds for subscription payments where you change your mind, forget to cancel, stop using the App, do not use all available features, or cancel part way through a paid billing period, except where required by law.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or protection that cannot be excluded under the Australian Consumer Law or any other applicable law. Where the Australian Consumer Law applies, our goods and services come with guarantees that cannot be excluded.

For services, you may be entitled to a remedy if the services are not provided with due care and skill, are not fit for a disclosed purpose, or are not supplied within a reasonable time where no time is agreed. For goods, including any physical merchandise we sell, you may be entitled to a repair, replacement, refund or other remedy if the goods fail to comply with applicable consumer guarantees.

If we sell physical Sukarr-branded merchandise, such as tote bags, phone holders, accessories or similar items, refund and replacement rights for that merchandise will be handled in accordance with the Australian Consumer Law. We do not provide change-of-mind refunds for merchandise unless we expressly state otherwise, but we will honour all rights required by law for faulty, unsafe, misdescribed or non-compliant goods.

8. Community Hub Guidelines

If the App includes a Community Hub or similar feature, users may be able to share recipes, meal ideas, food-related tips, kitchen organisation ideas, shopping tips or other content. You are responsible for content you post.

8.1 Acceptable content

·       Recipes, meal ideas and cooking tips;

·       Food storage and waste reduction tips;

·       Kitchen organisation ideas;

·       General household inventory suggestions;

·       Personal experiences and practical ideas that are lawful, respectful and safe.

8.2 Prohibited content

·       Spam, repetitive posts, scams or unsolicited promotions;

·       Offensive, hateful, discriminatory, abusive or harassing content;

·       Content that promotes unsafe food handling, unsafe storage or dangerous preparation practices;

·       False, misleading or unsupported health, nutrition, medical or dietary claims;

·       Sexually explicit, violent, threatening or illegal material;

·       Personal information about another person without consent;

·       Content that infringes copyright, trademarks, privacy, confidentiality or other third-party rights;

·       Malware, harmful code, phishing links or attempts to compromise the App or users.

8.3 Moderation

We may review, hide, remove, restrict or moderate content that we reasonably consider breaches these Terms, creates legal or safety risk, or affects the user experience. We may suspend or terminate accounts for repeated or serious breaches. We are not required to monitor all content and are not responsible for user content to the maximum extent permitted by law.

9. Intellectual Property and User Content

9.1 Our intellectual property

The App, including its software, design, interface, features, database structure, graphics, logos, brand elements, trademarks, copy, content, workflows and other materials, is owned by or licensed to Sukarr and is protected by intellectual property laws. Nothing in these Terms transfers ownership of our intellectual property to you.

9.2 Your content

You retain ownership of content you create, upload or submit to the App, including inventory entries, notes, images and Community Hub posts, subject to any rights we need to operate the App.

By submitting content to the App, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, process, transmit, adapt and use that content for the purpose of operating, improving, securing and providing the App and related services. For public Community Hub content, this includes displaying and distributing the content within the App.

If you delete content or close your account, we will handle deletion in accordance with our Privacy Policy and technical retention practices. Some content may remain in backups, logs, legal records or cached systems for a limited period where reasonably necessary.

9.3 AI-generated outputs

AI-generated recipes, suggestions, descriptions, categorisations or item recognition outputs are provided for personal informational use only. We do not guarantee originality, accuracy, completeness, suitability, safety or availability of AI-generated outputs. You should not rely on AI-generated outputs as professional advice.

9.4 Copyright and infringement notices

If you believe content in the App infringes your rights, you may contact us at info@sukarr.com with enough information for us to identify the content and assess the issue. We may remove or restrict content where we reasonably consider it necessary or appropriate.

10. AI Features, Recipes, Food Safety and User Responsibility

Sukarr may use artificial intelligence, automation, image recognition, receipt scanning, voice transcription, item categorisation, smart shopping suggestions and recipe generation tools.

AI-generated content may be inaccurate, incomplete, duplicated, unsuitable, outdated or inappropriate for your personal circumstances. This includes recipes, ingredient suggestions, expiry estimates, storage suggestions, item recognition results, quantities, substitutions, nutritional references or shopping suggestions.

You agree and acknowledge that:

·       recipes and suggestions are general information only and are followed at your discretion;

·       you are responsible for deciding what ingredients, products and quantities you place in your food;

·       you must check ingredient labels, allergens, expiry dates, best-before dates, storage instructions and food condition yourself;

·       you must not rely on the App as medical, dietary, nutritional, allergy, health or food safety advice;

·       you should consult a qualified professional if you have allergies, intolerances, dietary requirements, medical conditions, pregnancy-related needs, infant feeding questions or other health concerns;

·       we are not responsible if a recipe does not turn out as expected, tastes different to what you prefer, is unsuitable for your equipment, or does not meet your expectations;

·       expiry dates and reminders are estimates or user-entered records and are not a substitute for checking physical labels and food condition; and

·       image recognition and receipt scanning may misread items, brands, quantities, dates, ingredients or labels.

Sukarr does not sell food, groceries, ingredients or meals. The App is an inventory and household management tool. You remain responsible for safe storage, preparation, handling, cooking, consumption and disposal of food and household items.

11. Prohibited Conduct

You must not:

·       use the App for any unlawful, fraudulent, harmful or misleading purpose;

·       reverse engineer, decompile, disassemble, modify, copy or attempt to derive source code from the App except where permitted by law;

·       interfere with, disrupt, overload, probe or compromise the App, servers, networks, security measures or connected systems;

·       use bots, scrapers, automated tools or bulk access methods without our written consent;

·       impersonate another person or misrepresent your identity, authority or affiliation;

·       upload viruses, malware, harmful code or content that may damage the App or another user’s device;

·       infringe another person’s intellectual property, privacy, confidentiality or other rights;

·       use the App for commercial resale, sublicensing, data harvesting or competing services without our written consent;

·       circumvent payment obligations, feature limits, account restrictions, suspensions or bans; or

·       use the App in a way that creates legal, safety, security or reputational risk for us or other users.

12. Service Availability, Changes and Updates

We aim to keep the App available and working well, but we do not guarantee uninterrupted, error-free or continuous access. The App may be unavailable due to maintenance, updates, technical issues, third-party provider issues, outages, security incidents, network failures or events outside our reasonable control.

We may modify, suspend, remove, replace or discontinue features at any time. We may also release updates, bug fixes, security patches or changes that are required for the App to continue operating. Some features may depend on device permissions, operating system compatibility, internet access, third-party services, AI providers or subscription status.

You are responsible for keeping the App updated where updates are made available. Older versions may not function correctly or may stop being supported.

13. Third-Party Platforms, App Stores and Providers

The App may interact with third-party services, platforms and providers, including Apple, Google, payment processors, AWS cloud services, AI processing providers, authentication providers and analytics or security services. Your use of those third-party services may be subject to separate terms and privacy policies.

If you download or subscribe through the Apple App Store, Google Play or another platform, that platform’s terms may also apply to billing, cancellations, refunds and account management. To the extent there is a conflict between these Terms and mandatory platform terms, the platform terms may apply to the relevant platform-controlled issue.

We are not responsible for third-party platforms, outages, policies, processing delays, billing rules or decisions, except to the extent required by law.

14. Privacy and Data

Our Privacy Policy explains how we collect, use, store, disclose and protect personal information. By using the App, you agree that we may handle your personal information as described in the Privacy Policy.

You are responsible for ensuring that any information, images, receipts, voice inputs or content you submit to the App are lawful for you to provide and do not include another person’s personal information without appropriate consent.

15. Data Security and Data Breaches

We take reasonable technical and organisational steps to protect information handled through the App, including security measures described in our Privacy Policy. However, no electronic transmission, storage system, app, network or service can be guaranteed to be completely secure.

If we become aware of a data breach that is likely to result in serious harm to affected individuals, we will assess the incident and, where required, notify affected users and the Office of the Australian Information Commissioner in accordance with the Notifiable Data Breaches scheme and applicable Australian privacy laws.

You must notify us promptly at info@sukarr.com if you suspect your account has been compromised or you become aware of a security issue affecting the App.

16. Disclaimer of Warranties

To the maximum extent permitted by law, the App is provided on an "as is" and "as available" basis. We do not guarantee that the App will be uninterrupted, error-free, accurate, complete, secure, compatible with every device, or suitable for every user’s needs.

We do not warrant that AI-generated outputs, item recognition, receipt scanning, voice transcription, expiry reminders, shopping suggestions, recipe suggestions or community content will be accurate, complete, safe, suitable or reliable.

This clause does not exclude, restrict or modify any rights or remedies that cannot be excluded under the Australian Consumer Law or other applicable laws.

17. Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or protection that cannot be excluded under the Australian Consumer Law or any other applicable law.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss or damage, loss of profit, loss of data, loss of goodwill, loss of opportunity, loss caused by service interruption, or loss arising from your reliance on AI-generated outputs, community content, expiry reminders, recipe suggestions, item recognition, receipt scanning or user-entered information.

Where our liability cannot be excluded but can be limited, our liability is limited, at our option and to the maximum extent permitted by law, to:

·       for services: supplying the services again or paying the cost of having the services supplied again; and

·       for goods: replacing the goods, supplying equivalent goods, repairing the goods, paying the cost of replacement or repair, or providing any other remedy required by law.

Subject to the Australian Consumer Law, our total aggregate liability to you for all claims connected with the App is limited to the amount you paid us for the App in the 12 months before the event giving rise to the claim, or AUD $100 if you have not paid us any amount, unless a higher amount is required by law.

18. Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless Sukarr, Mala Group Pty Ltd, and our officers, employees, contractors and service providers from and against claims, liabilities, losses, damages, costs and expenses arising from:

·       your breach of these Terms;

·       your misuse of the App;

·       content you submit, upload, post or share;

·       your infringement of another person’s rights;

·       your unlawful conduct; or

·       your failure to comply with applicable laws.

This indemnity does not apply to the extent the claim is caused by our negligence, wilful misconduct or breach of law.

19. Suspension and Termination

19.1 Termination by you

You may stop using the App at any time. You may request account deletion through the App where available or by contacting us at info@sukarr.com. Account deletion does not automatically cancel a subscription managed by a third-party platform unless that platform’s process is completed.

19.2 Suspension or termination by us

We may suspend, restrict, downgrade or terminate your access to the App if:

·       you breach these Terms;

·       payment fails or remains overdue;

·       we suspect fraud, misuse, unauthorised access or security risk;

·       your conduct creates legal, safety, operational or reputational risk;

·       we are required to do so by law, a regulator, a court, a platform provider or a payment provider; or

·       we discontinue the App or relevant feature.

19.3 Effect of termination

Upon termination, your right to use the App ends. We may delete or anonymise your personal information in accordance with our Privacy Policy, subject to legal, security, billing, backup and dispute-resolution retention needs. Clauses that by their nature should continue will survive termination, including clauses about intellectual property, user content licences, payment obligations, disclaimers, liability, indemnity, privacy, dispute resolution and governing law.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as through the App, by email or by updating the effective date. Where practicable, we will provide at least 14 days notice before material changes take effect.

Your continued use of the App after updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using the App and cancel any subscription.

21. Disputes and Complaints

If you have a complaint or dispute, please contact us first at info@sukarr.com so we can try to resolve it. Please include your account email, a clear description of the issue and any relevant screenshots, receipts or transaction details.

We will aim to respond to complaints within a reasonable time. If a dispute cannot be resolved informally, either party may pursue rights and remedies available under applicable law. Nothing in these Terms limits your right to contact a regulator or exercise non-excludable rights under Australian law.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Subject to any rights you have under applicable consumer protection laws, the courts of New South Wales and the Commonwealth of Australia have jurisdiction over disputes relating to these Terms or the App.

23. General Provisions

·       Entire agreement: These Terms and the Privacy Policy form the entire agreement between you and us about the App.

·       Severability: If a clause is invalid or unenforceable, it will be read down or severed to the extent necessary, and the remaining clauses continue.

·       No waiver: If we do not enforce a right immediately, that does not mean we waive it.

·       Assignment: You may not assign your rights or obligations without our written consent. We may assign or transfer our rights and obligations as part of a restructure, business transfer, merger, sale or operational change.

·       Subcontracting: We may use contractors, service providers, affiliates and technology providers to operate the App.

·       Force majeure: We are not liable for delay or failure caused by events outside our reasonable control, including outages, cyber incidents, natural disasters, war, strikes, regulatory action, platform decisions or third-party provider failures.
